Fan & Creator Contract

Zyrcle (operated by Inifex LTD (16543165)) facilitates this relationship but is not a party to the individual agreements between Fans and Creators.

1. Parties

Creator

The individual or entity who has completed Zyrcle's creator verification process and publishes exclusive content on the Platform in exchange for subscription revenue from Fans.

Fan (Subscriber)

The individual who subscribes to a Creator's content on the Platform, paying a recurring monthly subscription fee in exchange for access to the Creator's exclusive content.

By subscribing to a Creator on Zyrcle, a Fan enters into a direct contractual relationship with that Creator, governed by the terms set out in this document and the Platform's Terms of Service. Zyrcle acts solely as the payment facilitator and platform provider.

2. The Subscription

2.1 What the Fan Receives

Upon subscribing, the Fan is granted a non-exclusive, non-transferable, personal license to access and view the Creator's content made available on the Platform during the active subscription period. This license includes:

  • Access to all content the Creator publishes to their subscriber feed during the subscription period.
  • Access to any content previously published by the Creator that remains available on their profile during the subscription period.
  • The ability to interact with the Creator through Platform-provided messaging features, subject to the Creator's own availability and communication practices.

Important: This license does not include any right to download, copy, reproduce, share, distribute, publicly display, or otherwise use the Creator's content outside of the Platform.

2.2 What the Creator Commits To

By activating a subscription offering on the Platform, the Creator agrees to:

  • Publish content to their subscriber feed on a reasonably regular basis consistent with their stated content schedule and profile representations.
  • Accurately represent the nature and type of content Fans can expect to receive upon subscribing.
  • Not materially misrepresent the benefits of a subscription or engage in bait-and-switch practices.
  • Maintain their account in active standing. If a Creator intends to take a hiatus or discontinue their account, they are encouraged to notify active subscribers in advance.
  • Honor all content commitments made to subscribers at the time of subscription.

2.3 Subscription Price and Billing

  • The subscription price is set by the Creator within Zyrcle's permitted pricing range ($4.99–$49.99/month) and is clearly displayed prior to purchase.
  • Subscriptions are billed on a recurring monthly basis. The Fan's payment method will be charged automatically on the renewal date each month.
  • The Fan will receive a renewal reminder email at least 7 days prior to each monthly charge.
  • Price changes by the Creator require 30 days advance notice to existing subscribers and do not take effect until the next renewal following the notice period.

3. Fan Rights and Responsibilities

3.1 Fan Rights

  • Access and view content during active subscription period.
  • Cancel subscription at any time without penalty.
  • Contact Zyrcle support for delivery failures.
  • Report Creator content violating Platform policies.

3.2 Fan Responsibilities

  • Pay the agreed subscription fee on renewal.
  • No copying, downloading, or redistributing content.
  • No commercial use of Creator content.
  • No harassment or abusive communication.
  • No fraudulent chargebacks.

4. Creator Rights and Responsibilities

4.1 Creator Rights

  • Set and update subscription pricing.
  • Block users violating terms or policies.
  • Retain all intellectual property rights.
  • Receive payment for valid subscription charges.

4.2 Creator Responsibilities

  • Publish consistent with schedule and profile.
  • No misrepresentation of content or frequency.
  • Ensure compliance with Content Moderation Policy.
  • Maintain Section 2257 recordkeeping.
  • No off-platform payment solicitation.

5. Content Ownership and License

The Creator retains full intellectual property ownership of all original content they publish on the Platform. The Fan's subscription grants only a personal, non-commercial, non-transferable viewing license. No ownership interest in any content is transferred to the Fan at any time.

Unauthorized reproduction, distribution, or public display of Creator content by a Fan constitutes copyright infringement and may result in immediate account termination and legal action by the Creator.

6. Cancellation and Refunds

  • Cancellation by Fan: Fans may cancel at any time via Account Settings > Subscriptions > Cancel. Cancellation takes effect at the end of the current billing period. No refund is issued for the current paid period as content access is provided immediately.
  • Creator Account Termination: If a Creator's account is terminated by Zyrcle for policy violations during an active subscription period, affected Fans may be eligible for a pro-rated refund for the unused portion of their current billing period.
  • Billing Errors: Fans who believe they have been charged in error should contact support@zyrcle.com within 30 days of the charge.

7. Zyrcle's Role

Zyrcle is the platform operator and payment facilitator. Zyrcle is not a party to the individual subscription agreement between a Fan and a Creator and is not responsible for:

  • The quality, frequency, or nature of content published by any individual Creator.
  • Any representations made by a Creator about the content they will publish.
  • Any direct communications or arrangements made between a Fan and Creator outside of the Platform.

Zyrcle does, however, enforce this contract and the Platform's policies. Fans who believe a Creator has materially breached their subscription commitments may report the Creator to support@zyrcle.com for review.

8. Dispute Resolution

Disputes between Fans and Creators that cannot be resolved directly should first be reported to Zyrcle support at support@zyrcle.com. Zyrcle will review the matter and may take platform-level action where a Creator is found to have materially breached their subscriber commitments.

Formal disputes between Fans and Zyrcle are governed by the arbitration and dispute resolution provisions in the Platform's Terms of Service.

9. Governing Law

This agreement is governed by the laws of the State of Wyoming, without regard to conflict of law principles, consistent with the Platform's Terms of Service.
